Terms and Conditions

Welcome to Ignite Online. These terms govern our projects and services. By using our services, you agree to these terms.

1. Our Services
We provide website production (specialising in Webflow CMS), UI/UX design, post-launch support, digital marketing and AI-related services.

2. Website Projects 

2.1 Execution & Timeframes

  • Estimates: Project timelines are best estimates and are not binding. Delays in feedback or content delivery will shift your "delegated work window."
  • Approval & Revisions: Once a project stage is approved, any further modifications or "re-doing" work will incur additional charges.
  • Project Delays: If a project is delayed by more than 4 weeks due to your action or inaction, a $1,000 + GST Restart Fee applies to cover resource reallocation.

Change Requests: Any changes outside the agreed scope incur a minimum $500 + GST Change Request Fee plus hourly rates.

2.2 Webflow & Hosting

  • Platform: Sites are built on Webflow. You agree to be bound by Webflow’s Terms of Service and acknowledge that platform-wide changes or pricing from Webflow are outside our control.
  • Hosting Term: Hosting agreements (Webflow Management Plans) are for a minimum of 12 months from the launch date.

2.3 Security & Backups

  • Backups: For Webflow sites, backups are managed by Webflow Inc. We are not liable for data loss or restoration issues.
  • Security: Platform security is the responsibility of Webflow/AWS. We are not liable for third-party security breaches or platform vulnerabilities.

3. Retainers, Website Post-Launch Support & Pre-Paid Hours

  • Website Retainers / Management Plans: Unused hours can roll over for a maximum period as specified in your proposal or agreement with Ignite. If no specific agreement is in place, a default rollover period of 4 months applies.
  • Digital Marketing Retainers: Unused hours can roll over for a maximum period as specified in your proposal or agreement with Ignite. If no specific agreement is in place, a default rollover period of 4 months applies.
  • Pre-paid Hours: A minimum 5-hour block is required for ad-hoc support. These hours are non-refundable.

4. Payments, Fees & Refunds

  • Ignite’s Standard Hourly Rate = $250 + GST per hour.
  • Milestones: We will not commence or release work until relevant milestone invoices are paid.
  • Failed Payments: A $35 Fee applies to the second failed attempt to debit funds. We reserve the right to suspend all services (including hosting) for overdue accounts.
  • Third-party Tools/Subscriptions: If you would like Ignite to procure any third-party tools or subscriptions on your behalf, a 20% management fee plus GST will apply.
  • IGNITE® Satisfaction Guarantee (Website Projects): If, after the initial Strategy Workshop, you feel we aren't the right fit, we will refund your deposit in full. Outside of this guarantee, progress payments are non-refundable.

5. Cancellations

If you cancel a project after accepting the services, the following applies:

  • Project Early Stage: If cancelled before the mid-way point/design completion, you are liable for 50% of the total project fee.
  • Project Late Stage: If cancelled after the mid-way point, the full remaining balance is due immediately.
  • Monthly Services: Cancellation during a minimum term requires payment of 50% of the remaining contract value.

6. Intellectual Property (IP)

  • Your Content: You retain all rights to the content you provide.
  • Our Tools: We retain ownership of pre-existing code, frameworks, and proprietary IP.
  • Final Product (Website Projects): Upon full payment, you own the custom design elements created for your website. We reserve the right to include a small "Project Credit" link in the footer.

7. Liability

  • Liability Cap: To the extent permitted by law, our total liability is limited to the total fees paid by you under the Agreement.

8. General

  • Confidentiality: Both parties agree to protect each other’s proprietary information.
  • Dispute Resolution: We agree to attempt negotiation and good-faith mediation before pursuing legal action.

Governing Law: This agreement is governed by the laws of Victoria, Australia.
